These Terms of Service ("Terms") govern your use of the website, patient portal, and digital services operated by Omnyx Management LLC together with the affiliated physician-owned professional practices that provide all medical services: Omnyx Medical PC for Arizona patients and Matthew Stapleton, M.D., Professional Corporation for California patients (collectively, "we," "us," "the Practice"). Omnyx Management LLC is a technology and management services company and does not practice medicine. By using our services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and a resident of a state where the Practice's providers are licensed. The Practice currently provides care in Arizona and California, expanding to additional states. Check the current list of available states in your patient portal.
2. Acceptable Use
You agree to use our services only for lawful purposes and to:
- Provide accurate, complete, and current information about yourself and your health;
- Not misrepresent your identity, age, or eligibility;
- Not attempt to circumvent the synchronous video requirement for initial encounters;
- Not resell, redistribute, or share medications prescribed to you;
- Not use the services to obtain prescriptions for others;
- Not attempt to access portions of the patient portal not assigned to you;
- Not introduce viruses, malware, or harmful code;
- Not scrape, copy, or reverse-engineer our content or systems.
3. Medical Information Disclaimer
Content on our website (including the quiz, blog, education library, and product pages) is for informational purposes and does not constitute medical advice. A licensed provider must evaluate you before any clinical recommendation or prescription. The synchronous initial video encounter required by Arizona Revised Statutes § 36-3602 and California Medical Board telehealth standards establishes the provider-patient relationship.
4. Quiz Disclaimer
Our free quiz is an educational tool. Quiz results do not constitute a diagnosis or treatment recommendation. They are designed to help you understand your goals and select a relevant protocol category if you choose to engage our services. No clinical decision will be made based on quiz responses alone.
5. AI Assistant ("Sam")
Our AI patient assistant, Sam, provides general information, scheduling support, and routes clinical questions to your provider. Sam clearly identifies itself as AI. Sam does not prescribe, diagnose, or make clinical decisions. See the separate AI Disclosure document for details.
6. Account Responsibilities
You are responsible for maintaining the security of your account credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use.
7. Intellectual Property
All content on our website and patient portal, including text, graphics, logos, software, brand assets, and clinical protocols ("Content"), is owned by or licensed to the Practice and the MSO. You may not reproduce, distribute, modify, or create derivative works without our written permission. You retain ownership of content you submit (e.g., intake responses, photos you upload), but you grant us a license to use that content for purposes of providing care and operating our business.
8. Payment Terms
Memberships, consult fees, products, and lab fees are described separately in the Membership Agreement or Path B Service Agreement. By using paid services, you authorize the Practice and our payment processor to charge your payment method.
9. Disclaimers and Limitation of Liability
9.1 As-Is. Our services are provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by law.
9.2 No Result Guarantees. Individual results vary. We do not guarantee any specific clinical outcome.
9.3 Compounded Products. Some products are prepared by compounding pharmacies and are not FDA-approved. Service-specific consents disclose the regulatory status of compounded products before they are prescribed.
9.4 Limitation. To the maximum extent permitted by law, the Practice's aggregate liability for any claim is limited to the total fees paid by you to the Practice in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to claims involving gross negligence, willful misconduct, or violation of statutory rights that cannot be waived.
10. Arbitration and Dispute Resolution
The mandatory arbitration, class action waiver, fee-shifting, and jury trial waiver provisions in the Membership Agreement (Section 9) or Path B Service Agreement (Section 5, incorporating Membership Agreement Section 9 by reference) apply to any dispute arising out of or related to your use of our website and services.
11. Indemnification
You agree to indemnify and hold harmless the Practice, the MSO, and our officers, directors, employees, and agents from any claim arising out of your breach of these Terms or your misuse of our services.
12. Termination
We may suspend or terminate your access to the patient portal or services for any violation of these Terms or for any other reason, with or without notice. Termination does not relieve you of obligations incurred prior to termination.
13. Modifications
We may modify these Terms at any time. Material changes will be posted on our website with a new Effective Date and communicated by email or in-app notice. Continued use of our services after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles, except where the laws of your state of residence apply by mandatory statute.
15. SMS Messaging Terms
omnyx, operated by Omnyx Management LLC, offers an SMS messaging program. By opting in, you consent to receive text messages from omnyx, including account and appointment notifications, reminders, and, if you select marketing consent, promotional offers and updates. Message frequency varies. Message and data rates may apply. To opt out at any time, reply STOP to any message. For help, reply HELP or contact support@omnyxlife.com. Carriers are not liable for delayed or undelivered messages.
